These Terms of Service form a binding agreement between you and Academz, the company that builds and operates the platform, and govern your access to and use of the platform — the marketing website, the vendor consoles, and every academy we host. We have written them in clear, numbered clauses so that whether you run an academy, teach on one, administer a team, or learn a course, you can find the rules that apply to you. Please read them carefully; by creating an account or using Academz you accept them in full.
At a glance
Acceptance of Terms
By accessing or using Academz in any way, you confirm that you have read, understood, and agreed to be bound by these Terms of Service.
These Terms apply to everyone who uses the platform — the academy owner who subscribes to a plan, the staff and teachers who operate it, and the learners who study on it. If you use Academz on behalf of an organization, you represent that you have the authority to bind that organization, and "you" then refers to both you and it.
If you do not agree with any part of these Terms, you must not create an account or use the service. Your continued use after any change published as described in clause 24 constitutes acceptance of the revised version.
One agreement, several documents
These Terms incorporate our Privacy Policy, Cookie Policy, and any plan-specific or order documents by reference. Together they form the entire agreement between you and us.
Definitions
Throughout these Terms, the following capitalized terms carry the meanings set out below. They are used consistently in every clause.
- Platform
- Academz, the multi-tenant learning management software provided as a service by the Vendor, including its websites, applications, APIs, and related services.
- Vendor
- Academz, the company that owns, builds, and operates the Platform and provides it to you under these Terms; also referred to as "we", "us", or "our".
- Academy (Tenant)
- An institution that subscribes to the Platform and runs its own isolated space to sell and deliver learning. When you subscribe, you are the Academy.
- Learner
- Any student or participant who enrolls in courses, bundles, or subscriptions offered by an Academy on the Platform.
- User
- Any individual who accesses the Platform, including academy owners, administrators, staff, teachers, and learners.
- Content
- Any material uploaded, created, or delivered through the Platform — courses, lessons, videos, quizzes, certificates, files, messages, and academy branding.
- Subscription
- The free or paid plan under which an Academy uses the Platform, billed on a recurring cycle unless stated otherwise.
- Order
- A purchase a Learner makes from an Academy — a course, bundle, subscription, or card — processed through the Academy's own payment gateway.
Words in the singular include the plural and vice versa, and headings are for convenience only and do not affect interpretation.
Eligibility & Account Registration
To register for and use Academz, you must meet the eligibility requirements in this clause. Access is offered to institutions and the individuals who act for them.
- You must be at least 18 years old, or the age of legal majority in your jurisdiction, to open an academy account.
- You must provide accurate, current, and complete registration information and keep it up to date.
- You are responsible for safeguarding your credentials and for all activity that occurs under your account.
- You must not register on behalf of anyone else without authorization, or create an account using a false identity.
Learners who are minors may use an Academy's platform only under that Academy's supervision and with any consent the law requires from a parent or guardian; the Academy, not the Vendor, is responsible for obtaining it.
Keep your account secure
Notify us immediately if you suspect unauthorized use of your account. We are not liable for losses arising from credentials you failed to keep confidential.
Description of the Service
Academz is a multi-tenant Software-as-a-Service platform that lets each Academy build, sell, and run its own online learning institution.
The Platform provides tools to create courses, bundles, subscriptions, and cards; to enroll and manage learners; to accept payments through supported gateways; and to administer teachers, staff, and students within an isolated tenant. The features available to you depend on the plan you select and any usage limits that apply.
We provide the Platform, its hosting, security, and continuous improvement. We do not create, own, or endorse the Content an Academy publishes, and we are not a party to the transactions between an Academy and its Learners.
One platform, two worlds
Academz serves the Vendor's own business and every subscribing Academy from a single, continuously updated codebase, so improvements reach every tenant at once.
Subscription Plans & Free Trial
Access to the Platform is offered through subscription plans, including a free trial and a permanent free tier, alongside paid plans that scale with your needs.
When you subscribe, you choose a plan that defines its price, billing cycle, features, and usage limits. Your subscription begins when you activate it and continues for the billing period you selected until it is cancelled or terminated under these Terms.
| Plan | What it offers |
|---|---|
| Free trial | Full access to paid features for a limited evaluation period, with no payment required to start. |
| Free tier | A permanent, no-cost plan with modest usage limits, suitable for a small academy. |
| Paid plans | Higher limits and advanced features, billed each cycle and scaling as your academy grows. |
Free trial
We may offer a free trial so you can evaluate paid features before you pay. Unless we state otherwise, no payment is required to start a trial, and we will tell you clearly when it ends and what happens next. We may limit trials to one per academy and may withdraw or change a trial offer at any time.
Upgrades & downgrades
- You may upgrade your plan at any time; the change takes effect immediately and we prorate the difference for the remainder of your cycle.
- You may downgrade your plan; the change takes effect at your next renewal, and reduced limits may require you to bring usage within the new plan first.
- If your usage exceeds your plan's limits, we may ask you to upgrade or may apply overage terms disclosed to you at the time.
Fees, Billing & Taxes
This clause explains what you pay us for your subscription, how we bill it, and how taxes are handled. Fees for Learners' purchases from an Academy are covered separately in clause 15.
- Fees are the amounts stated for your chosen plan at the time of purchase or renewal, charged in the currency shown at checkout.
- You authorize us, or our payment processor, to charge your payment method for all fees due, including recurring subscription fees, on each billing date.
- You are responsible for keeping a valid payment method on file; a failed charge may lead to suspension as described in clause 19.
- Unless stated otherwise, fees are exclusive of taxes; you are responsible for any VAT, sales tax, or duties that apply, and we add them where we are required to collect them.
- All fees are payable in advance and, except as required by law or stated in clause 8, are non-refundable once a billing period has begun.
Invoices
Every charge generates an invoice available in your account. We may update prices for future billing cycles with advance notice; the new price applies from your next renewal.
Renewals & Cancellation
Paid subscriptions renew automatically so your academy keeps running without interruption, and you stay in control of when they stop.
Unless you cancel before the end of the current period, your subscription renews automatically for another period of the same length, and we charge your payment method the then-current fee for that plan. We send a reminder before renewal where the law requires it.
How to cancel
You can cancel at any time from your account's billing settings or by contacting our team. Cancellation stops the next renewal; it does not retroactively refund the current period, which remains active until it expires.
Effect of cancellation
- Your plan stays active until the end of the period you already paid for.
- At expiry, your academy moves to the free tier if eligible, or is suspended pending closure, and paid features become unavailable.
- We provide a window to export your data before any deletion, as described in clauses 16 and 19.
Refund Policy
Because Academz lets you try before you pay, our refund policy is deliberately simple and is set out in full below.
Our model is built around a free trial and a free tier so that you can evaluate the Platform thoroughly before committing any money. Once you choose to pay, the following rules govern refunds of the fees you pay to us for your subscription.
- Trial before payment — we encourage you to use the free trial and free tier to confirm the Platform meets your needs; paid fees begin only when you deliberately upgrade.
- New subscriptions — where the law grants a statutory cooling-off period, you may cancel within it for a refund of the fee you just paid, less any usage the law allows us to deduct.
- Renewals — renewal fees are generally non-refundable, because you had the full prior period and the reminders in clause 7 to decide; we may make good-faith exceptions for an unused renewal reported promptly.
- Proration — if we prorate an upgrade, any refund we grant is calculated on the same prorated basis for the unused remainder of the cycle.
- Non-refundable items — one-time setup fees, add-ons already consumed, metered usage already delivered, and third-party gateway charges are not refundable.
- Chargebacks — please contact us before disputing a charge with your bank; a chargeback raised without contacting us may lead to suspension while we investigate.
How refunds are paid
Approved refunds are returned to the original payment method within a reasonable period. Refunds apply only to fees you paid to us; they never cover amounts a Learner paid to an Academy, which are the Academy's responsibility under clause 15.
Free Tier & Usage Limits
Academz offers a permanent free tier so an academy can operate at a modest scale at no cost. The free tier is subject to the usage limits and feature boundaries published for it.
- Free-tier academies may be limited in the number of learners, courses, storage, messages, or other metered resources.
- Some advanced features are reserved for paid plans and are not available on the free tier.
- We may change free-tier limits with reasonable notice, and we may suspend a free-tier account that shows no activity for an extended period.
The free tier is provided "as is". We may meter usage fairly across tenants to protect the shared platform, and we may ask a free-tier academy to upgrade if its usage materially exceeds the tier's intent.
Account Roles & Tenant Administrators
An Academy operates through people in different roles, and this clause explains who is responsible for what within a tenant.
- Academy Owner
- The account holder who subscribes, is billed, and holds ultimate control over the tenant and its settings.
- Administrator
- A user the Owner grants elevated permissions to manage staff, content, learners, and configuration.
- Teacher
- A user who authors and delivers courses and interacts with enrolled learners.
- Staff
- A user granted a defined set of permissions to help operate the academy.
- Learner
- A student enrolled in the academy's offerings, whose access is defined by their enrollment.
The Academy Owner is responsible for the actions of every user it invites, for setting appropriate permissions, and for ensuring its team complies with these Terms. Granting a role does not transfer ownership of the account or its data.
Least privilege
We recommend giving each user only the access their role needs. The Owner remains accountable for the administrative actions taken within the tenant.
Acceptable Use Policy
To keep Academz safe and reliable for everyone, you agree not to misuse the Platform. The following uses are prohibited.
- Uploading or distributing unlawful, infringing, defamatory, obscene, or harmful content.
- Violating the intellectual-property, privacy, or other rights of any person or institution.
- Attempting to breach tenant isolation, access another academy's data, or circumvent security or usage limits.
- Probing, scanning, or testing the vulnerability of the Platform, or interfering with its normal operation.
- Uploading malware, or using the Platform to distribute spam, phishing, or fraudulent schemes.
- Reselling, sublicensing, or white-labeling the Platform beyond the rights your plan grants.
- Using automated means to scrape or overload the Platform, or exceeding rate limits in bad faith.
- Impersonating others, falsifying identity, or using the Platform for money laundering or sanctioned activity.
We may investigate suspected violations and take action ranging from removing content to suspending or terminating access, as described in clause 19. Serious or unlawful activity may be reported to the authorities.
User & Institutional Content
You own the Content your academy creates; we only host and deliver it so your platform can function.
As between you and us, you retain all ownership of the Content you or your users upload or create — your courses, media, learner records, branding, and institutional data. We claim no ownership over it.
To operate the Platform, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, adapt for formatting, and deliver your Content to the users you authorize, solely to provide and improve the service. This license ends when you delete the Content or close the account, except for backups that expire on their normal cycle and records we must keep by law.
Your responsibility
You are solely responsible for your Content — for having the rights to use it, for its legality, and for its accuracy. You warrant that your Content does not infringe any third party's rights and complies with these Terms and applicable law.
Takedown
We may remove or disable Content that we reasonably believe violates these Terms, infringes a third party's rights, or exposes the Platform to liability. Where practical we will notify the Academy and follow a fair notice-and-takedown process for reported infringement.
Intellectual Property Rights
The Platform itself — its software, design, themes, trademarks, logos, and the Academz brand — is owned by the Vendor and its licensors and is protected by intellectual-property law.
- We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during your subscription, solely as these Terms permit.
- You may not copy, modify, reverse-engineer, resell, or create derivative works of the Platform, except to the extent the law expressly allows.
- You may not remove or obscure any proprietary notice, and you may not use our brands without our prior written permission.
- Any feedback or suggestions you give us may be used freely to improve the Platform, without obligation to you.
All rights not expressly granted to you are reserved by the Vendor. This clause does not affect your ownership of your own Content under clause 12.
Instructor & Course Content Ownership
Course Content — the lessons, videos, quizzes, and materials that teachers and academies create — belongs to the Academy or the instructor who made it, according to the arrangement between them.
The Vendor does not claim ownership of any course, and does not decide the price, quality, or accuracy of what an Academy sells. The Academy is responsible for the Content it publishes, for licensing any third-party material it includes, and for honoring the promises it makes to its Learners.
Teacher arrangements
How an academy shares revenue with, credits, or licenses content from its teachers is a matter between the academy and its teachers. The Platform records and facilitates, but is not a party to, those arrangements.
If a Learner's access to purchased Content is affected by a dispute between a teacher and an academy, resolving it is the Academy's responsibility, not the Vendor's.
Payments to You & Payouts
When your academy sells a course, bundle, subscription, or card, the revenue is yours — the Platform takes no commission on your sales.
Learners pay your Academy directly through the payment gateway you connect. You keep the proceeds of your sales, subject only to the fees your chosen gateway charges to process each transaction. Academz does not take a percentage of what you sell.
- You are responsible for connecting and maintaining a supported payment gateway, and for complying with that gateway's terms.
- Payouts, settlement times, and processing fees are governed by your agreement with the gateway, not with us.
- You are responsible for refunds, chargebacks, and disputes on the Orders your Learners place with you, and for honoring your own refund policy toward them.
- You are responsible for the taxes on your sales — charging, collecting, reporting, and remitting them as the law requires in your jurisdiction.
You are the merchant of record
For sales to your Learners, your Academy is the seller. The Vendor provides the tooling but is not the merchant, does not hold your sales proceeds, and is not responsible for your tax or consumer-law obligations toward your Learners.
Student Data & Privacy Responsibilities
Each Academy controls its own Learners' data; the Vendor processes that data on the Academy's behalf.
When you run an academy, you decide what learner information you collect and why, so you are the data controller for it, and we act as your data processor under our Privacy Policy and any data-processing terms. You are responsible for having a lawful basis to collect and use learner data, and for giving your Learners your own privacy notice.
- You must handle learner data lawfully, including obtaining any consent the law requires — for example, from a parent or guardian for a minor.
- You must respond to your Learners' privacy requests as the controller, and we will support you with the tools to do so.
- You must not upload sensitive data into free-text fields unless it is genuinely necessary and lawfully collected.
See our Privacy Policy
How we protect data, isolate tenants, and support your obligations is described in our Privacy Policy, which forms part of these Terms. Tenant isolation ensures one academy can never reach another academy's learners.
Third-Party Services & Integrations
The Platform lets you connect third-party services — payment gateways, email or messaging providers, video hosts, analytics, and other integrations. This clause governs their use.
- Third-party services are provided by their own operators under their own terms and privacy policies, which you accept when you connect them.
- We are not responsible for the availability, accuracy, security, or acts of any third-party service, and connecting one is at your own risk.
- Fees charged by a third party — such as a payment gateway or SMS provider — are your responsibility and are separate from our fees.
If a third-party service changes or stops working, we will make reasonable efforts to support alternatives, but we do not guarantee continued compatibility with any external service.
Service Availability & Support
We work hard to keep Academz available, fast, and secure, and to support you when you need help. This clause explains what you can expect.
- We aim for high availability but do not guarantee uninterrupted service; maintenance, updates, and factors beyond our control may cause downtime.
- We may perform scheduled maintenance and will give reasonable notice for work likely to cause significant disruption.
- Support is provided through the channels and within the response targets described for your plan.
Continuous improvement
Because Academz runs on a single evolving codebase, fixes and new features reach every tenant automatically — you never manage upgrades yourself.
Any service-level commitments beyond this clause apply only if they are expressly stated in a separate agreement for your plan.
Suspension & Termination
We may suspend or terminate access to protect the Platform, its users, and the law — and you may close your account at any time.
We may suspend or terminate your account, in whole or in part, on notice where practical, if any of the following occurs:
- You breach these Terms, the Acceptable Use Policy, or any policy incorporated by reference.
- A payment fails and is not cured within a reasonable period.
- Your use poses a security, legal, or reputational risk to the Platform or its users.
- We are required to act by law or by a competent authority.
Effect and data export
On termination, your right to use the Platform ends and paid features are disabled. We provide a reasonable window to export your data before it is deleted from active systems, except where we must retain records by law or where suspension is due to unlawful activity. You may terminate at any time by cancelling under clause 7 and closing your account.
Suspension for cause may be immediate where the risk is serious. We will restore access once the cause is resolved, at our reasonable discretion.
Disclaimers & Warranties
The Platform is provided "as is" and "as available", to the fullest extent permitted by law.
We do not warrant that the Platform will be uninterrupted, error-free, or secure against every threat, or that it will meet every requirement you have. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, except those the law does not permit us to exclude.
We are not responsible for the Content academies publish, the courses they sell, the promises they make to Learners, or the outcomes of any learning delivered through the Platform. Any reliance you place on such Content is at your own risk.
No professional advice
Academz is a technology platform, not a provider of legal, tax, accounting, or educational-accreditation advice. You are responsible for your own compliance and for the quality of what you teach or sell.
Limitation of Liability
This clause limits our liability to you, to the fullest extent the law allows. Please read it carefully.
- We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
- We are not liable for the acts, content, or transactions of any Academy, Learner, or third-party service.
- Our total aggregate liability arising out of or relating to the service is limited to the fees you paid us for the Platform in the twelve months before the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded by law, such as for fraud or for death or personal injury caused by negligence. Some jurisdictions do not allow certain limitations, so parts of this clause may not apply to you; in that case our liability is limited to the smallest extent the law permits.
Indemnification
You agree to defend, indemnify, and hold harmless the Vendor, its affiliates, and their staff from any claim, loss, liability, or expense — including reasonable legal fees — arising out of:
- Your Content, or your use of the Platform, in breach of these Terms or applicable law.
- Your infringement or misappropriation of any intellectual-property, privacy, or other right of a third party.
- The transactions between your Academy and its Learners, including their Orders, refunds, and disputes.
- Your handling of learner data as a controller, and any breach of your obligations under clause 16.
We will notify you of any claim subject to indemnification and may participate in the defense with our own counsel. You may not settle a claim in a way that imposes any obligation on us without our written consent.
Governing Law & Dispute Resolution
These Terms, and any dispute arising out of or relating to them or to the Platform, are governed by the laws applicable to Academz at its principal place of business, without regard to conflict-of-laws rules.
Before starting any formal proceeding, you agree to contact us and attempt in good faith to resolve the dispute informally; most concerns can be settled quickly this way. If a dispute cannot be resolved informally within a reasonable period, it will be subject to the courts or arbitration designated in our operating agreement for your region.
Local rights
If you are a consumer, nothing in this clause deprives you of the protection of the mandatory laws of the country where you live. Enterprise customers may agree different terms in a separate signed agreement.
Modifications to These Terms
We may update these Terms as the Platform evolves, the law changes, or our practices improve. When we make a material change, we will update the version and effective date at the top of this page and, where appropriate, notify you by email or an in-app notice before it takes effect.
Your continued use of Academz after a change takes effect means you accept the revised Terms. If you do not accept a change, your remedy is to stop using the Platform and cancel your subscription under clause 7. We keep prior versions on record and can provide them on request.
Miscellaneous & Contact
A few final points that apply to the whole agreement, followed by how to reach us.
- Severability — if any clause is found unenforceable, the rest of these Terms remain in full effect, and that clause is limited only as far as necessary.
- Entire agreement — these Terms, with the documents they incorporate, are the entire agreement between you and us and supersede any prior understanding on their subject.
- Assignment — you may not assign these Terms without our consent; we may assign them to an affiliate or successor, for example in a merger, on notice to you.
- No waiver — our failure to enforce a right is not a waiver of it, and no waiver is effective unless it is in writing.
- Force majeure — neither party is liable for delay or failure caused by events beyond its reasonable control.
